These terms are the agreement between you and Riff Tech, Inc. ("we", "us") if you are accepted into the affiliate programme for the Coii applications. They cover what you may do, what we pay, and how a sale comes to be counted as yours. They are not the terms you use the applications under — those are the Terms of Service, and buying a licence is governed by them whether or not you are an affiliate.

One programme covers all three applications, because they are one store at the merchant of record and a reviewer writing about two of them should have one number to state.

1. Who this is between

The programme is ours. Lemon Squeezy is the merchant of record for every sale, and it also runs the affiliate side of that store: it holds your affiliate account, records your referrals, holds your balance and pays you. Its own terms govern that account and that payment, and you accept them when you apply.

We decide who is in the programme, what the commission is, and whether a referral was earned within these terms. Lemon Squeezy performs the counting and the paying.

2. Joining, and being turned down

You apply; a person reads the application; we accept or decline. Approval is manual and will stay manual, and we decline more applications than we accept. We do not have to give a reason.

Acceptance is personal to you. You may not transfer, sell or share your affiliate account or your referral code, and you may not hold more than one.

3. What we pay

50% of the sale price of each licence you refer, before tax and before the merchant of record's own fees. The same rate applies to all three applications. There is no cap, no tier and no bonus.

The rate in force is the one published at https://coii.io/affiliates. We may change it. A change takes effect only for sales made after it is published, and we will tell existing affiliates before it does.

Commission is paid once per licence sold. Renewals do not exist — the licence is a single payment — so neither do recurring commissions.

4. How a sale becomes yours

A sale is credited to you when Lemon Squeezy, which records referrals for the store, ties the purchase to a click on your link. It can do that in two ways, and both are stated here because finding them out from a missing commission is worse:

  • On the visit. Your code — ?aff= on the address the reader arrived at — is read off the address bar and written into the Buy button and into the links between our four sites, so it reaches the checkout on the URL. At the same time Lemon Squeezy's affiliate script, which our pages load, records the click on Lemon Squeezy's side and hands the browser a click id; the Buy button carries that too. A reader who arrives on your link and buys during that visit, on any of the four sites, is yours.
  • Later, within 60 days. The click is recorded against the reader's browser: a cookie, and behind it a browser fingerprint, both Lemon Squeezy's and both described in §5 of the Privacy Policy. A purchase made from that browser within the window is credited to the click — on a later visit by any route, or from the checkout the application opens after the trial. This is how a reader who downloads on your link and pays a month later, from inside the application, becomes yours. The recognition is Lemon Squeezy's mechanism, not ours. A browser that has cleared its cookies and changed in the ways a fingerprint sees, a different browser, or a different machine is not recognised, and we do not promise attribution beyond what Lemon Squeezy's own affiliate terms promise.
  • All three applications count, on one link. They are one store at the merchant of record and one programme. A reader who arrives on your link to one of them and buys a different one is still your referral.
  • The last click wins. Where more than one affiliate's click is on record for a purchase, the most recent one within the window is credited, whoever else the buyer may have read first.

We do not promise attribution beyond this, and no arrangement outside these terms — a discount code, a landing page, a fixed fee — exists.

Your own purchases do not count. Nor do purchases you make for someone else, or purchases by anyone you arrange to reimburse.

5. Payment

Payment is by Lemon Squeezy, from the balance it holds for you, and its schedule is the one that applies:

  • a commission is held 30 days before it can be paid;
  • payouts are created twice a month, on the 1st and the 15th, for cleared commissions;
  • a balance below $10 rolls forward to the next payout;
  • payment is by PayPal or bank transfer, to the details you give Lemon Squeezy;
  • Lemon Squeezy takes 2% of each commission as its own fee, deducted from what it pays you. On a $19 licence that is 19 cents: the commission is $9.50 and the payout is $9.31. The fee is Lemon Squeezy's, not ours, and it is stated here rather than left to be discovered in a payout.

Currency conversion, transfer fees and any tax paperwork are between you and Lemon Squeezy. You are responsible for your own taxes on what you are paid. We do not withhold and do not advise.

6. Refunds, chargebacks and reversals

A refunded or charged-back sale takes its commission with it, whether or not it has already been paid; a reversed commission is deducted from your balance. The Refund Policy gives a buyer five days from purchase to ask, which closes well inside the 30-day hold in §5 — so in the ordinary case a refund reverses a commission that has not yet been paid.

We may withhold or reverse a commission we have reason to believe came from a breach of §7, from fraud, or from a payment that was not genuine.

7. What you may not do

Breaking any of these ends your participation under §11.

  1. Publish without disclosing. Say that your link earns you a commission, in the post itself, where a reader sees it before they click. Your jurisdiction may require this; we require it regardless.
  2. Post referral links where promotion is against the rules. That is most of Reddit, Hacker News, other people's Discord servers and most forums. We do not post links into communities we are not part of, and nor may you. Answering a question in a place you already belong, with a disclosure, is a different thing and is welcome.
  3. Bid on our names in paid search, or run any advertising that could be read as coming from us. That includes "Coii", the three application names, and our domains, in any spelling close enough to be mistaken for them.
  4. List us on coupon, deal or cashback sites. There are no discount codes, so a listing implying one is a false claim about the price.
  5. Present yourself as us. No domains, accounts, handles, pages or profiles using our names or marks; no support offered on our behalf; no email that could be read as coming from us; no claim to speak for us.
  6. Spam, automate or buy your traffic. No unsolicited email, no automated posting, no purchased, incentivised or bot traffic, no cookie stuffing, no typosquatting, no browser extension or toolbar that inserts your code.
  7. Name the engine. You may not state the name of the speech, recognition or language model any application uses, who trained it, its parameter count or size, the runtime, the frameworks or libraries it is built on, or a version number of any of them. We do not state these things on our own pages either: they change between releases and the post does not. Say "an engine on your Mac", or say nothing about it.
  8. Claim what we have not. No benchmarks, accuracy figures, speed comparisons, compatibility promises or feature claims that our own product pages do not make. Nothing about a competitor beyond what that competitor publishes about itself, and none of their screenshots or copy.

8. Our name and marks

You may use the application names, our word marks and our own screenshots to say what you are writing about. You may not alter a mark, use one as part of your own name or logo, register a domain or account containing one, or use them in a way that suggests a partnership, sponsorship or endorsement that does not exist.

Permission lasts as long as your participation and ends with it.

9. What you publish is yours

Your posts, videos, pages and mailings are yours. You are responsible for them, including for their accuracy and for the law that applies where you publish. Nothing you write is reviewed or approved by us in advance, and nothing in it is a statement by us.

10. What this arrangement is not

You are an independent participant, not our employee, agent, partner or representative. This agreement creates no partnership, joint venture, employment or agency, gives you no authority to bind us, and gives you no exclusivity in any territory, audience or channel.

11. Ending it

Either of us may end your participation at any time, for any reason, by saying so.

  • If we end it and you have not breached §7, commissions already cleared are paid on the ordinary schedule.
  • If your participation ends because of a breach of §7, unpaid commissions are forfeited, and commissions already paid on sales traceable to the breach may be reclaimed.

On the end of participation you must stop using your referral links and remove them from anything you have published. Sections 6, 9, 10, 12, 13 and 14 survive.

12. Changes to these terms

We may change these terms. The current version is always at https://legal.coii.io/affiliates, with every change listed at the top of it and every earlier version kept at its own dated address. A change applies to referrals made after it is published; continuing in the programme after that is your acceptance of it.

13. No warranty, and what we are liable for

The programme is provided as it is. We do not warrant that tracking will capture every referral, that the websites, the checkout or the merchant of record will be available, or that the programme will continue to exist.

To the fullest extent permitted by law, our total liability arising out of the programme is limited to the commissions payable to you in the twelve months before the claim. We are not liable for indirect or consequential loss, or for lost earnings or opportunity.

Nothing here excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded by law.

14. The law where you are

These terms choose no governing law. If you are a consumer, the mandatory provisions of the law of your country of residence protect you whatever this agreement says, and nothing here is meant to reduce them.

If any provision is found unenforceable, the rest stays in force.
